Terms Of Service Agreement
These terms and conditions govern the use of services provided by Safeex Technologies Private Limited, a web development company registered under the laws of India, with its registered office at 408, Kopper Arcade, Opp.Gonvind Baug ,Sant Kabir Road,Rajkot.
By using our services or engaging in any business transaction with Safeex Technologies Private Limited, you agree to be bound by the following terms and conditions. Please read these terms carefully before using our services.
1. Definitions:
“Client,” “You,” or “Your” refers to any individual, organization, or entity that engages in business with Safeex Technologies Private Limited.
“We,” “Our,” or “Us” refers to Safeex Technologies Private Limited.
2. Services:
Safeex Technologies Private Limited provides web development and related services, including but not limited to website design, website development, e-commerce development, website maintenance, and web application development. The specific services will be detailed in the project proposal or agreement.
3. Proposal and Acceptance:
Upon receiving a project inquiry, we will provide the client with a detailed project proposal outlining the scope of work, timeline, deliverables, and associated costs. The client must review and accept the proposal in writing or through electronic acceptance before the commencement of any work.
4. Pricing and Payment:
Pricing for our services will be provided in the project proposal. Payment terms, including the payment schedule and accepted payment methods, will also be outlined in the proposal or agreement. Safeex Technologies Private Limited reserves the right to modify pricing and payment terms with prior notice.
5. Intellectual Property:
All intellectual property rights related to the services provided by Safeex Technologies Private Limited shall remain the exclusive property of Safeex Technologies Private Limited unless explicitly stated otherwise in the project proposal or agreement. Any unauthorized use, reproduction, or distribution of our intellectual property is strictly prohibited.
The client agrees not to use any of our proprietary information or deliverables for commercial purposes or share it with third parties without obtaining written consent from Safeex Technologies Private Limited.
6. Client Responsibilities:
The client shall provide all necessary materials, content, and information required for the project within a reasonable timeframe. The client is responsible for ensuring that all materials provided do not infringe on any third-party copyrights or intellectual property rights.
The client shall appoint a single point of contact who will have the authority to make decisions on behalf of the client regarding the project.
7. Confidentiality:
Both parties agree to treat all non-public information disclosed during the course of the business relationship as confidential. This includes but is not limited to project details, trade secrets, and any proprietary information. Confidential information shall not be disclosed to any third party without prior written consent.
8. Data Protection and Privacy:
Safeex Technologies Private Limited complies with applicable data protection laws and takes measures to protect client data. Please refer to our Privacy Policy for more information on how we collect, use, and protect your data.
9. Warranty and Liability:
Safeex Technologies Private Limited will make every effort to deliver services that meet high standards of quality and professionalism. However, we do not warrant that our services will be error-free or uninterrupted. We shall not be liable for any direct, indirect, incidental, or consequential damages arising from the use of our services.
The client acknowledges that web development involves inherent risks, including potential security vulnerabilities and data breaches. While we take reasonable steps to secure our deliverables, the client assumes responsibility for regularly updating and maintaining their website or application to prevent security breaches.
10. Project Timeline and Delays:
We will make every effort to complete the project within the agreed timeline. However, the client acknowledges that delays may occur due to unforeseen circumstances or changes in project requirements. In such cases, Safeex Technologies Private Limited will promptly inform the client of any delays and provide a revised timeline.
11. Termination:
Either party may terminate the agreement by providing written notice to the other party in case of a material breach. Upon termination, the client shall pay for all services provided up to the termination date.
12. Governing Law and Jurisdiction:
These terms and conditions shall be governed by and construed in accordance with the laws of India. Any disputes arising from these terms and conditions shall be subject to the exclusive jurisdiction of the courts located in Rajkot, Gujarat, India.
13. Amendments:
Safeex Technologies Private Limited reserves the right to modify or update these terms and conditions at any time without prior notice. Clients will be notified of any changes, and continued use of our services constitutes acceptance of the updated terms.
14. Indemnification:
The client agrees to indemnify and hold Safeex Technologies Private Limited, its employees, and contractors harmless from any claims, losses, damages, liabilities, costs, and expenses, including attorney fees, arising from the client’s use of our services or any breach of these terms and conditions.
15. Entire Agreement:
These terms and conditions, along with any project proposals or agreements signed between Safeex Technologies Private Limited and the client, constitute the entire understanding between the parties and supersede any prior agreements, whether written or oral.
